1. Definitions

In these Terms and Conditions, the following terms have the following meanings:

• "Agreement" — these Terms and Conditions, together with any engagement scope document
• "Service" — any consulting service provided by krungaxiess, including the Stakeholder Communication Audit, Change Readiness Assessment, and Enterprise Strategy Retreat Facilitation
• "User" or "Client" — any person or organization that uses our website or engages our services
• "We", "Us", "Our" — krungaxiess Co., Ltd., 55/7 Ratchadaphisek Road, Din Daeng, Bangkok 10400, Thailand
• "Content" — all text, documents, frameworks, deliverables, and materials produced as part of an engagement
• "Deliverable" — the specific final output agreed in the engagement scope document

2. Acceptance of Terms

By using this website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.

Use of this website and engagement of services is available only to individuals and organizations with the legal capacity to enter a binding agreement. Our services are intended for organizations and individuals aged 18 or above.

If you are entering into this Agreement on behalf of an organization, you represent that you have the authority to bind that organization.

3. Service Description

krungaxiess provides business consulting services in Thailand and the wider ASEAN region. Our current service offerings are as described on our Solutions page. Each service is delivered according to a written scope document agreed with the client before work commences.

Service availability is subject to consultant availability and geographic practicality. We reserve the right to decline any engagement at our discretion.

4. Engagement Process

Formal engagement begins when both parties have signed a written scope document. No binding commitment exists based solely on a verbal conversation, email exchange, or website form submission.

The scope document will specify the service type, deliverables, timeline, fee, and payment terms. Any changes to scope must be agreed in writing by both parties.

5. User Responsibilities

As a client or website user, you agree to:

• Provide accurate and complete information when contacting us or during an engagement
• Make available the personnel, documentation, and access reasonably necessary for us to deliver the agreed service
• Respond to reasonable requests in a timely manner to avoid delays
• Use this website and any deliverables only for lawful purposes
• Not use our website in any way that could damage, disable, or impair its operation

6. Intellectual Property

All content on this website — including text, design, and proprietary frameworks — is the intellectual property of krungaxiess and is protected under Thai copyright law.

Upon full payment, we grant you a non-exclusive, non-transferable license to use the deliverables produced specifically for your engagement within your organization. This license does not permit you to resell, sublicense, or distribute those deliverables to third parties without our prior written consent.

The underlying methodologies, frameworks, and tools used to produce deliverables remain the property of krungaxiess.

7. Payment Terms

Fees for each service are as stated in the engagement scope document. Prices are quoted in Thai Baht (฿) inclusive of applicable taxes unless otherwise specified.

Unless otherwise agreed in the scope document, payment is structured as follows: 50% deposit at engagement start, with the remaining 50% due upon delivery of the final deliverable.

Refund Policy: The deposit is non-refundable once active engagement work has commenced. If we are unable to deliver the agreed service due to circumstances within our control, we will refund fees proportionate to the undelivered portion of the scope.

Late payment beyond 14 days of the invoice date may result in suspension of work until the outstanding amount is settled.

8. Confidentiality

Both parties agree to maintain the confidentiality of information shared during an engagement. krungaxiess will not disclose client information, engagement details, or deliverables to any third party without the client's prior written consent, except as required by law.

A mutual non-disclosure agreement is typically executed as part of the engagement onboarding process.

9. Disclaimers

Our services are provided on a professional advisory basis. We make no representations or warranties regarding specific business outcomes resulting from implementing our recommendations. Business results depend on factors beyond our control, including organizational execution, market conditions, and decisions made by the client's leadership.

This website is provided "as is". We do not warrant that it will be error-free or continuously available.

10. Limitation of Liability

To the maximum extent permitted by Thai law, krungaxiess shall not be liable for any indirect, consequential, or incidental damages arising from the use of our website or services.

Our total liability in connection with any engagement shall not exceed the fees actually paid by the client for that engagement.

11. Indemnification

You agree to indemnify and hold harmless krungaxiess and its team members from any claims, damages, or expenses arising from your use of our website or services in violation of these Terms, or from any misrepresentation made by you in connection with an engagement.

12. Termination

Either party may terminate an engagement by providing written notice. In the event of termination by the client after work has commenced, fees will be calculated based on work completed to the date of notice. In the event of termination by krungaxiess due to circumstances within our control, any unused fees will be refunded.

We reserve the right to terminate access to this website for any user who violates these Terms.

13. Dispute Resolution

These Terms and any engagement governed by them are subject to the laws of the Kingdom of Thailand. Any dispute arising from these Terms or an engagement shall first be subject to good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, it shall be referred to mediation. Failing resolution through mediation, disputes shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

14. General Provisions

Entire Agreement: These Terms, together with any engagement scope document, constitute the entire agreement between the parties with respect to the subject matter.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

Waiver: Failure to enforce any provision does not constitute a waiver of that provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.

15. Changes to These Terms

We may update these Terms from time to time. The current version will always be available on this page with the updated effective date. Continued use of our website or services after any update constitutes acceptance of the revised Terms.
